Master Terms of Service & End-User License Agreement (EULA)

1. ACCEPTANCE OF TERMS

This Master Terms of Service and End-User License Agreement ("Agreement") governs access to and use of all datasets, simulation outputs, validation reports, application programming interfaces (APIs), and custom validation services provided by KEFF Data & Validation ("KEFF," "Company," "we," or "us").

By accessing, downloading, purchasing, or using any KEFF products or services, you ("Licensee" or "Client") agree to be legally bound by this Agreement.

If you do not agree to these terms, you must not access or use KEFF materials.

2. PERMITTED USE & STRICT OPERATIONAL PROHIBITION

2.1 Research-Only Use

All KEFF datasets, simulations, and validation outputs are provided strictly for:

>Academic research
>Algorithm development
>Offline modeling
>Design-space exploration
>Non-operational computational benchmarking

2.2 Absolute Prohibition on Operational Integration

KEFF materials SHALL NOT be:

>Integrated into real-time reactor control systems
>Used in SCADA environments
>Deployed within programmable logic controllers (PLCs)
>Embedded in safety-critical feedback systems
> Used for live operational control of any physical nuclear facility

2.3 No Engineering Certification

KEFF provides mathematical benchmarking and computational validation only. KEFF does not provide engineering certification, plant qualification, safety analysis approval, or regulatory authorization.

3. LICENSE STRUCTURE

3.1 Tier 0 - Academic Preview

Licensed under CC-BY-NC 4.0 for non-commercial academic review only.

3.2 Tier 1 - Independent Researcher

Single-user, non-transferable license. Permitted for individual research and publication. Redistribution, sublicensing, sharing, resale, or public hosting of raw datasets (.h5 files or derivative reconstructions) is strictly prohibited.

3.3 Tier 2 - Enterprise & Laboratory

Multi-seat institutional license permitting internal use, including access to proprietary simulation geometries and input files where contractually specified.

4. INTELLECTUAL PROPERTY

All proprietary geometries, simulation configurations, compiled datasets, documentation, and validation methodologies remain the exclusive intellectual property of KEFF.

Reverse engineering, reconstruction, or derivation of KEFF proprietary simulation inputs from dataset outputs is strictly prohibited.

No ownership rights are transferred under this Agreement.

5. VALIDATION SERVICES DISCLAIMER

5.1 Scope

Custom Validation Services are limited to benchmarking client models against established computational physics standards and reference libraries.

5.2 Not Regulatory Certification

Any "Verified" or "Validated" designation confirms computational convergence only. Such designation does not constitute regulatory approval, governmental certification, engineering endorsement, or safety authorization.

Client retains sole responsibility for regulatory compliance, engineering review, and physical safety testing.

6. WARRANTY DISCLAIMER (AS-IS PROVISION)

ALL KEFF MATERIALS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

KEFF DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO:

>Accuracy or completeness
>Fitness for a particular purpose
>Merchantability
>Non-infringement
>Operational suitability

KEFF does not warrant that datasets are error-free, uninterrupted, or suitable for regulatory submission.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

KEFF shall not be liable for any indirect, incidental, consequential, special, punitive, catastrophic, or operational damages, including but not limited to facility damage, radiation incidents, regulatory penalties, business interruption, or data loss.

Total cumulative liability of KEFF under this Agreement shall not exceed the total fees paid by the Licensee to KEFF during the twelve (12) months preceding the claim.

8. INDEMNIFICATION

Licensee agrees to indemnify, defend, and hold harmless KEFF, its founders, affiliates, and contractors from any claims, liabilities, damages, or expenses arising from:

>Misuse of KEFF materials
>Operational deployment in violation of Section 2
>Regulatory non-compliance by the Licensee
>Export violations

9. EXPORT CONTROL & NON-PROLIFERATION

All KEFF datasets represent unclassified civilian-grade parameters (e.g., low-enriched uranium below 5% U-235).

Licensee certifies that:

> They are not located in a jurisdiction subject to comprehensive international sanctions
>They are not listed on restricted party lists
> They will not export, re-export, or transfer KEFF materials for weapons development or non-peaceful applications

KEFF reserves the right to immediately terminate access upon suspected export or sanctions violations without refund.

10. TERMINATION

KEFF may terminate this Agreement immediately upon breach. Upon termination, Licensee must cease use and delete all KEFF materials.

Sections concerning intellectual property, liability limitations, indemnification, and export compliance shall survive termination.

11. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the jurisdiction in which KEFF is legally registered, without regard to conflict of law principles.

Any dispute arising under this Agreement shall be resolved exclusively in the competent courts of that jurisdiction unless otherwise agreed in writing.

12. FORCE MAJEURE

KEFF shall not be liable for delays or failure in performance due to causes beyond reasonable control, including but not limited to natural disasters, governmental actions, infrastructure outages, or geopolitical events.

13. SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.

No amendment shall be valid unless in writing and signed by KEFF.

By accessing or using KEFF materials, Licensee acknowledges and agrees to all terms herein.

15. DATA PRIVACY & TELEMETRY (KVKK / GDPR COMPLIANCE)

15.1. Data Collection Scope: KEFF collects minimal personal and institutional data (including but not limited to name, institutional email, and research intent) strictly for the purposes of identity verification, security clearance vetting, and licensing compliance.

15.2. Zero Third-Party Monetization: Your telemetry is classified. KEFF Data does not sell, rent, broker, or distribute your personal or institutional information to third-party marketers or unauthorized entities.

15.3. Right to Erasure: Consistent with global privacy protocols, Licensees may request the complete purging of their personal identifying data from KEFF secure servers at any time, which will correspondingly terminate their active dataset licenses.
